Comprehensive Legal Documentation Governing the Use of EirPost Services
This Terms of Service Agreement (hereinafter referred to as "the Agreement," "these Terms," or "this Agreement") constitutes a legally binding contract between EirPost Limited, a company incorporated under the laws of the Republic of Ireland, hereinafter referred to as "EirPost," "we," "us," or "our," and any individual, corporation, partnership, association, or other entity that accesses, uses, or otherwise interacts with the EirPost platform, services, website, mobile applications, or any other digital or physical interfaces provided by EirPost, hereinafter referred to as "you," "your," "user," "customer," or "client."
By accessing, browsing, using, or otherwise interacting with any aspect of the EirPost platform, including but not limited to the website located at www.eirpost.ie or eirpost.ie, any mobile applications, application programming interfaces (APIs), or any other digital or physical interfaces, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree to be bound by these Terms, you must immediately cease all use of the EirPost platform and services and discontinue any further interaction with our systems, infrastructure, or personnel.
It is important to note that these Terms of Service are subject to change, modification, or amendment at any time at the sole discretion of EirPost. Any such changes will be effective immediately upon posting on the EirPost platform, and your continued use of the platform after such changes constitutes your acceptance of the modified terms. EirPost reserves the right to modify, suspend, or discontinue any aspect of the platform or services at any time without prior notice or liability to you or any third party.
For the purposes of this Agreement, the following terms shall have the meanings ascribed to them below, unless the context otherwise requires: "Platform" shall mean the collective digital infrastructure, including but not limited to websites, mobile applications, APIs, databases, servers, networks, and any other technological components that constitute the EirPost service delivery system. "Services" shall refer to all products, features, functionalities, and capabilities offered by EirPost, including but not limited to international shipping label generation, bulk shipping solutions, rate calculation and comparison tools, order tracking and management systems, customer support services, and any other value-added services that may be developed, implemented, or offered by EirPost from time to time.
"User Account" shall mean the digital profile, credentials, and associated data that are created, maintained, and managed by an individual or entity for the purpose of accessing and utilizing the EirPost platform and services. "Content" shall refer to any information, data, text, graphics, images, videos, audio files, software, code, or other materials that are uploaded, transmitted, generated, or otherwise made available through the EirPost platform by users, employees, contractors, or any other parties. "Intellectual Property Rights" shall mean all patents, copyrights, trademarks, trade secrets, know-how, and any other proprietary rights or protections that may exist or be created in relation to the EirPost platform, services, or any other aspects of the business operations.
"Force Majeure" shall mean any event or circumstance beyond the reasonable control of EirPost, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, labor disputes, technological failures, or any other events that prevent or significantly impair the ability of EirPost to perform its obligations under this Agreement. "Effective Date" shall mean the date on which these Terms of Service are first accepted by a user, which shall be the earlier of the date on which the user first accesses the platform or the date on which the user explicitly acknowledges acceptance of these terms through any electronic or physical means.
EirPost operates as a comprehensive international shipping solution provider, specializing in the facilitation of international shipping services for businesses, organizations, and individuals located within the Republic of Ireland. The platform serves as an intermediary between Irish businesses and various international shipping carriers, providing access to wholesale shipping rates, bulk shipping solutions, and comprehensive logistics management tools. The primary objective of the EirPost platform is to reduce the cost and complexity of international shipping for Irish businesses while maintaining high standards of service quality, reliability, and customer satisfaction.
The core services offered by EirPost include, but are not limited to, the following: International shipping label generation and printing capabilities, enabling users to create, customize, and print shipping labels for various international destinations and shipping methods. Bulk shipping solutions that allow users to process multiple shipments simultaneously, including batch upload functionality, automated processing, and comprehensive tracking and management tools. Rate calculation and comparison tools that provide users with real-time access to shipping rates from multiple carriers, enabling informed decision-making regarding shipping methods, costs, and delivery timeframes.
Order tracking and management systems that provide comprehensive visibility into the status, location, and progress of shipments throughout the entire delivery process. Customer support services that include technical assistance, operational guidance, and problem resolution for any issues or concerns that may arise during the use of the platform or services. Integration capabilities with various e-commerce platforms, accounting systems, and business management tools to streamline shipping operations and improve overall business efficiency.
The process of user registration and account creation on the EirPost platform is subject to strict verification procedures, validation protocols, and compliance requirements designed to ensure the integrity, security, and legitimacy of all user accounts. Users must provide accurate, complete, and up-to-date information during the registration process, including but not limited to full legal name, business registration details, contact information, shipping addresses, payment method information, and any other data required for account verification and service delivery. EirPost reserves the right to request additional documentation, verification materials, or other information deemed necessary to validate user identity, business legitimacy, or compliance with applicable laws and regulations.
User accounts are personal and non-transferable, and users are strictly prohibited from sharing, selling, transferring, or otherwise making their account credentials available to any third party. Users are responsible for maintaining the confidentiality and security of their account credentials, including usernames, passwords, security questions, and any other authentication mechanisms. Users must immediately notify EirPost of any unauthorized access, suspicious activity, or security breaches related to their account, and must cooperate fully with any investigation or security measures implemented by EirPost in response to such incidents.
EirPost reserves the right to suspend, terminate, or otherwise restrict access to user accounts for any reason, including but not limited to violations of these Terms of Service, suspicious or fraudulent activity, non-payment of fees or charges, or any other conduct that EirPost determines to be detrimental to the platform, other users, or the overall business operations. Account suspension or termination may result in the loss of access to services, forfeiture of any unused credits or prepaid amounts, and potential legal action for any damages or losses incurred by EirPost as a result of user misconduct or violations.
The EirPost platform is designed and intended for legitimate business purposes related to international shipping and logistics operations. Users are expected to utilize the platform and services in accordance with all applicable laws, regulations, industry standards, and ethical business practices. Any use of the platform that violates these requirements, constitutes misuse, or otherwise compromises the integrity, security, or functionality of the system is strictly prohibited and may result in immediate account termination, legal action, and potential criminal prosecution.
Specifically prohibited activities include, but are not limited to, the following: Attempting to gain unauthorized access to the platform, user accounts, or any other systems or infrastructure operated by EirPost or its service providers. Engaging in any form of hacking, cracking, reverse engineering, or other activities designed to compromise the security, integrity, or functionality of the platform or any associated systems. Using the platform to transmit, distribute, or otherwise make available any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
Attempting to interfere with, disrupt, or disable the platform or any associated systems, networks, or services through the use of viruses, worms, Trojan horses, or other malicious code or techniques. Engaging in any form of fraud, deception, or misrepresentation in connection with the use of the platform or services, including but not limited to providing false information, using stolen payment methods, or attempting to circumvent security measures or access controls. Using the platform for any purpose that violates applicable laws, regulations, or industry standards, including but not limited to shipping prohibited items, engaging in illegal trade activities, or violating export control regulations.
The service structure for EirPost services is based on a combination of factors including but not limited to shipping volume, destination countries, package weight and dimensions, shipping method selection, and any additional services or features requested by users. All service fees are quoted in Euro (EUR) and are subject to change at any time at the sole discretion of EirPost. Service changes may be implemented immediately upon posting on the platform, and users will be notified of any significant service modifications through electronic communication channels or platform notifications.
Payment for EirPost services is due immediately upon service utilization, and users are required to maintain valid payment methods on file with the platform at all times. EirPost accepts various forms of payment including credit cards, debit cards, bank transfers, and other electronic payment methods as may be determined appropriate by EirPost from time to time. All payment transactions are processed through secure, encrypted payment gateways that comply with industry standards for payment security and data protection.
Users are responsible for ensuring that sufficient funds are available to cover all charges incurred through the use of EirPost services. In the event of payment failure, insufficient funds, or any other payment-related issues, EirPost reserves the right to suspend service access, withhold shipping labels, or take other appropriate action to secure payment. EirPost may also charge additional fees for payment processing, late payments, or any other administrative costs associated with payment collection or account management.
All intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, patents, and any other proprietary rights or protections, in and to the EirPost platform, services, software, content, and any other materials or assets associated with the business operations, are owned exclusively by EirPost or its licensors. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform and services solely for the purpose of utilizing the shipping and logistics services offered by EirPost in accordance with these Terms of Service.
Users retain ownership of any content that they create, upload, or otherwise provide to the platform, including but not limited to shipping addresses, package descriptions, customer information, and any other data or materials that users input into the system. However, by providing such content to the platform, users grant EirPost a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content solely for the purpose of providing the requested services and improving the overall functionality and user experience of the platform.
Users are strictly prohibited from copying, reproducing, distributing, modifying, creating derivative works from, or otherwise exploiting any aspect of the EirPost platform, services, or intellectual property without the express written consent of EirPost. Any unauthorized use of EirPost intellectual property may result in immediate account termination, legal action for copyright infringement or other intellectual property violations, and potential criminal prosecution under applicable laws and regulations.
To the maximum extent permitted by applicable law, EirPost shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business opportunities, loss of data, loss of goodwill, or any other intangible losses, arising out of or in connection with the use of the platform or services, regardless of the form of action or legal theory upon which such claim is based. EirPost's total liability to any user for any claims arising out of or in connection with these Terms of Service or the use of the platform or services shall not exceed the total amount paid by such user to EirPost in the twelve (12) months preceding the date on which the claim arose.
Any disputes, controversies, or claims arising out of or in connection with these Terms of Service, the use of the platform or services, or any other aspect of the relationship between users and EirPost shall be resolved through binding arbitration in accordance with the rules and procedures of the Irish Arbitration Association or such other arbitration body as may be mutually agreed upon by the parties. The arbitration shall be conducted in Dublin, Ireland, and the language of the arbitration shall be English. The decision of the arbitrator shall be final and binding upon all parties, and judgment upon the award may be entered in any court having jurisdiction.
Users acknowledge and agree that by accepting these Terms of Service, they are waiving their right to a trial by jury and their right to participate in any class action lawsuit or class-wide arbitration. Users also acknowledge and agree that any claims must be brought individually and not as a plaintiff or class member in any purported class or representative proceeding. This arbitration agreement shall survive the termination of these Terms of Service and shall remain in full force and effect regardless of any changes to the platform, services, or business operations of EirPost.
EirPost reserves the right to terminate, suspend, or otherwise restrict access to user accounts and services at any time and for any reason, including but not limited to violations of these Terms of Service, suspicious or fraudulent activity, non-payment of fees or charges, or any other conduct that EirPost determines to be detrimental to the platform, other users, or the overall business operations. Account termination may be immediate or may be preceded by a warning period, depending on the nature and severity of the violation or misconduct.
Upon account termination, users will immediately lose access to all platform features, services, and functionality, and any pending shipments, shipping labels, or other service requests may be cancelled or suspended. Users are responsible for completing any outstanding obligations, settling any outstanding balances, and resolving any pending issues prior to account closure. EirPost may retain certain user data and information for a reasonable period following account termination for purposes of record keeping, compliance, and legal requirements.
Users may request account closure at any time by contacting EirPost customer support and following the established account closure procedures. However, account closure does not relieve users of any outstanding obligations, including but not limited to payment of fees or charges, compliance with applicable laws and regulations, or resolution of any pending disputes or claims. EirPost reserves the right to deny account closure requests if there are outstanding obligations, pending investigations, or other circumstances that require continued account access or monitoring.
These Terms of Service and any disputes, controversies, or claims arising out of or in connection with the use of the EirPost platform or services shall be governed by and construed in accordance with the laws of the Republic of Ireland, without regard to conflict of law principles or provisions. The courts of the Republic of Ireland shall have exclusive jurisdiction over any legal proceedings, lawsuits, or other legal actions arising out of or in connection with these Terms of Service or the use of the platform or services, except as otherwise provided in the arbitration agreement contained herein.
Users acknowledge and agree that by using the EirPost platform and services, they are subject to the laws and regulations of the Republic of Ireland and may be required to comply with various legal requirements, including but not limited to data protection regulations, export control laws, customs regulations, and other applicable legal frameworks. Users are responsible for understanding and complying with all applicable laws and regulations in their jurisdiction and in the jurisdictions where they conduct business or ship goods.
In the event that any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed to be severed from these Terms of Service and shall not affect the validity, legality, or enforceability of the remaining provisions. The remaining provisions of these Terms of Service shall continue in full force and effect and shall be construed as if the invalid, illegal, or unenforceable provision had never been included.
